PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION AGREEMENT (FOR US USERS) AND LIMITATIONS ON OUR LIABILITY.

Welcome to Plenti. These Terms of Service ("Terms") are a legal agreement between you ("User," "you") and Plenti ("Company," "we," "us," or "our") governing your use of our platform, AI tools, and services (the "Service").

1. The Agreement and Eligibility

1.1. Acceptance

By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

1.2. Global Scope

You acknowledge that Plenti operates in the UK, US, Kenya & Nigeria jurisdictions. You must comply with all local laws applicable to your residence.

1.3. Age

You must be at least 18 years old (or the age of majority in your jurisdiction). If you are between 13 and 18, you may only use the Service under the supervision of a parent or guardian who agrees to these Terms.

2. The Plenti Service

2.1. Nature of the Service

Plenti uses proprietary algorithms and Open Banking data to provide personalized financial insights, automated savings tools, and community finance (ROSCA) eligibility scoring. While our models are designed for high precision based on your linked financial data, you acknowledge that Plenti provides Financial Guidance, not Regulated Financial Advice.

2.2. User-Driven Decisions

Our "PlentiScore" and ROSCA eligibility assessments are tools to assist your decision-making and community participation. You remain the final decision-maker for all financial actions, including joining a ROSCA or enabling autonomous savings features. Plenti is a platform for execution and information, not a fiduciary advisor.

3. Account Registration and Security

3.1. Accuracy

You must provide accurate and complete information when creating an account.

3.2. Responsibility

You are responsible for all activities under your account. You must notify us immediately of any unauthorized access.

3.3. Corporate Use

If you are using Plenti on behalf of a company, that company accepts these terms, and you represent that you have the authority to bind them.

4. Fees, Payments, and Subscriptions

4.1. Tiers

We offer Free, Pro, and Enterprise tiers. Features and limits for each are detailed on our pricing page.

4.2. Billing

Subscriptions are billed in advance on a recurring cycle (monthly/annual).

4.3. Regional Pricing

  • UK: Prices include VAT where applicable.
  • US: Prices are exclusive of sales tax, which will be added at checkout.
  • Nigeria/Kenya: We strive to support local payment gateways (e.g., Flutterwave, Paystack). Exchange rates are determined at the time of transaction.

4.4. Cancellations

You may cancel at any time via your dashboard. Refunds are governed by local consumer laws (e.g., the 14-day "cooling off" period for UK consumers, unless the service has been substantially used).

5. Content and Intellectual Property

5.1. Your Content (Input)

You retain all ownership rights to the data, text, or files you upload ("Input"). You grant Plenti a worldwide, royalty-free license to use, host, and process this Input to provide and improve the Service.

5.2. Generated Content (Output)

Subject to your compliance with these Terms, Plenti hereby assigns to you all its right, title, and interest in and to the Output. Note that AI-generated content may not be eligible for copyright protection in certain jurisdictions (e.g., US and UK).

5.3. Similarity of Output

You acknowledge that due to the nature of machine learning, Outputs may not be unique and other users may receive similar results.

6. Acceptable Use Policy

You agree not to use Plenti to:

  • Generate "Deepfakes" or non-consensual sexual content.
  • Create malware, phishing content, or facilitate cyberattacks.
  • Infringe on the intellectual property rights of any third party.
  • Systematically scrape or "reverse-engineer" our models.
  • Violate local laws in the US (e.g., export controls), UK (e.g., Online Safety Act), or Nigeria/Kenya (e.g., data sovereignty laws).

7. Data Privacy and Training

7.1. Privacy

Our use of your data is governed by our Privacy Policy.

7.2. Compliance

We comply with the UK GDPR, the California Consumer Privacy Act (CCPA), and Nigeria/Kenya data frameworks such as Nigeria's NDPR.

7.3. Model Training

By default, we may use de-identified Inputs to improve our models. Enterprise users may opt out of data training via their settings.

8. Limitation of Liability

8.1. 'As Is' Basis

THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

8.2. Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Plenti'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO Plenti IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.

8.3. Regional Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer in the UK or other jurisdictions that do not allow the exclusion of certain warranties.

9. Term and Termination

9.1. By You

You may stop using the Service and delete your account at any time.

9.2. By Us

We may suspend or terminate your access if you breach these Terms or if we are required to do so by law.

10. Governing Law and Dispute Resolution

10.1. For UK Users

These Terms are governed by the laws of England and Wales. You may bring disputes to the English courts.

10.2. For US Users

These Terms are governed by the laws of the State of Delaware. You agree to resolve any disputes through binding arbitration and waive your right to a class-action lawsuit.

10.3. For Nigeria/Kenya Users

Disputes will be governed by the laws of the country in which Plenti is registered for that region (e.g., Kenya or Nigeria), with an emphasis on amicable mediation before litigation.

11. Modifications

We may update these Terms from time to time. If a change is material, we will provide at least 30 days' notice via email or an in-app notification.

13. Open Banking Integration

Plenti uses regulated Third-Party Providers (TPPs) to access your financial data via Open Banking. By linking your account, you grant us 'read-only' access to your transaction history. We use this data solely to calculate your PlentiScore and facilitate your savings goals. You can revoke this access at any time through your bank or the Plenti settings.

14. The PlentiScore and ROSCA Participation

The PlentiScore is a proprietary metric used to determine your compatibility with specific ROSCA groups. This score is not a 'Credit Score' in the sense of a Credit Reference Agency (like Experian or Equifax). It is a community-based trust metric. Plenti does not guarantee that a high PlentiScore will prevent defaults within a ROSCA group, and we are not liable for the financial conduct of other members within your ROSCA.

15. Automated and Hybrid Savings

If you enable 'Autonomous' or 'Hybrid' savings, you authorize Plenti to calculate and initiate transfers from your linked account to your Plenti savings pocket. Our algorithm aims to ensure you never overdraw, but you are responsible for monitoring your account balances. Plenti is not liable for any overdraft fees incurred as a result of automated transfers.

16. ROSCA Participation and Member Liability

16.1. Role of Plenti

Plenti acts strictly as a technology facilitator. We provide the platform to organize groups, the "PlentiScore" to vet participants via Open Banking, and the automated movement of funds. Plenti is not a bank, a credit union, or a guarantor of your funds. We do not provide insurance or "lender of last resort" services for ROSCA groups.

16.2. The PlentiScore and Vetting

  • The PlentiScore is a proprietary assessment of a user's financial reliability based on historical Open Banking data.
  • While Plenti uses high-precision machine learning to generate this score, a high score is an indicator of past behavior and not a guarantee of future performance.
  • By joining a ROSCA, you acknowledge that you have reviewed the group's parameters and accept the inherent risk of peer-to-peer financial groups.

16.3. Member Default and 'The Pot'

  • Non-Payment: If a member fails to make a scheduled contribution, Plenti will attempt to re-initiate the transfer via their linked account. If the transfer fails repeatedly, that member will be flagged and their PlentiScore will be negatively impacted.
  • No Platform Reimbursement: In the event of a member default, Plenti is not liable to "top up" the pot or reimburse the remaining members for the shortfall.
  • Collection Efforts: Plenti may, at its discretion, provide tools to help the group communicate with the defaulting member or provide documentation for members to pursue independent legal recovery, subject to data protection laws (UK GDPR/NDPR/POPIA).

16.4. Collective Responsibility

ROSCAs are community-based. Members acknowledge that the success of the cycle depends on the collective contributions of all participants. Plenti's liability is limited to the technical execution of the transfers and the accuracy of the data processing, not the ultimate fulfillment of the group's financial goals.

16.5. Regulatory Specifics

  • UK/US: You acknowledge that ROSCA participation through Plenti is a private arrangement between individuals. It is not an "investment product" protected by the FSCS (UK) or FDIC (US).
  • Nigeria/Kenya: Plenti complies with local regulations regarding "Chamas" or "Susu" groups where applicable. We act as the digital ledger and custodian of the workflow, ensuring transparency for all members.
